These Terms and Conditions (“Terms”) govern your relationship with the website https://undsgn.com and any related products and services (collectively, the “Service”), operated by Undsgn di David Salvatori (“us”, “we”, or “our”), a sole proprietorship registered in Italy, VAT no. IT02201710429, with registered address in via Maggini 220, 60127 Ancona, Italy.
Please read these Terms carefully before using our website or purchasing any of our products, including the Uncode WordPress theme and any other themes, plugins or digital products we make available (the “Products”).
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and customers of the Service. By accessing or using the Service, or by purchasing a Product, you agree to be bound by these Terms. If you disagree with any part of the Terms, please discontinue using the Service.
Our Products are distributed through two separate channels:
The licensing, support, update and refund conditions described below apply to direct purchases made through this website via Freemius, unless expressly stated otherwise. For purchases made on Envato, please refer to the terms and license you accepted at the time of purchase on that marketplace.
If you wish to purchase any Product through this website (a “Purchase”), you will be asked to provide certain information relevant to your Purchase, including your billing information and payment details. Payments for direct purchases are processed by Freemius as Merchant of Record; we do not directly store or process your full payment-card data. All direct transactions are subject to Freemius’ Terms of Service and Privacy Policy.
You represent and warrant that you have the legal right to use any payment method used in connection with a Purchase, and that the information you supply is true, correct and complete.
We reserve the right to refuse or cancel an order at any time for reasons including, without limitation, errors in the description or price of a Product, errors in your order, or where fraud or an unauthorized or illegal transaction is suspected.
Prices are shown in the currency indicated at checkout and, where applicable, are subject to VAT and other taxes, which are calculated and collected by Freemius according to your billing location.
Our Products are licensed, not sold. Each Purchase grants you a license to use the Product according to the specific license tier you selected at checkout (for example, the number of websites or end users covered). Unless your license expressly provides otherwise:
If you intend to use our Products as part of a Website-as-a-Service (WaaS) or similar business model, please contact us in advance to discuss an appropriate license.
All intellectual property rights in the Products and in the Service remain the exclusive property of Undsgn di David Salvatori and its licensors.
Support is provided only to customers with a valid license and an active support subscription, and only to the original license holder. Support covers installation, configuration and minor assistance in setting up the Product on a WordPress website, as well as bug fixing.
Support does not cover extensive customizations, third-party plugins or themes that are not part of the Product package, server or hosting configuration, or modifications you or third parties have made to the Product’s code.
Support is offered exclusively through our official Help Center. We do not provide support through social media, phone calls or other channels outside our official support system.
Product updates, including security patches, compatibility fixes and new features, are made available to customers with an active license. To receive automatic updates, you will need to enter your license key in the WordPress admin area of your website. Updates can also be installed manually where required.
When a license or support subscription expires, you may continue to use the version of the Product already installed, but you will no longer be entitled to receive updates or support until the license is renewed.
Consumers in the European Union. Our Products are digital content supplied without a tangible medium. Under EU and Italian consumer law (Legislative Decree no. 206/2005, the Italian Consumer Code), where you are a consumer you normally have a 14-day right of withdrawal. However, by purchasing and downloading or accessing the Product immediately, and by expressly requesting that performance begins before the end of the withdrawal period, you acknowledge that you lose your statutory right of withdrawal once the download or access has started. You will be asked to provide this acknowledgement at checkout.
Voluntary refund policy. Independently of the above, and as a commercial courtesy, we offer refunds under the following conditions:
A refund will not be granted where, for example, you simply changed your mind after purchase, you expected functionality that was not described in the Product details, you purchased the Product by mistake, or you fail to provide a valid reason for the request.
Approved refunds for direct purchases are processed through Freemius and typically take 5–10 business days to appear in your account, depending on your payment provider. Purchases made on Envato Market are subject to Envato’s own refund policy and must be handled through Envato.
We reserve the right to modify the price of any Product at any time. Price changes do not affect licenses already purchased. Subscription renewals continue at the applicable renewal price, which will be indicated in advance in the renewal notification.
When you create an account with us, you must provide information that is accurate, complete and current. You are responsible for safeguarding your password and for any activity under your account. You agree not to disclose your password to any third party and to notify us immediately of any unauthorized use of your account or any other breach of security.
You may not use as a username the name of another person or entity, a name or trademark subject to the rights of another party without authorization, or a name that is offensive, vulgar or obscene.
We continuously update the Products and information offered through the Service. Information on the Service, including descriptions, prices, images, specifications and availability, may occasionally contain errors, inaccuracies or omissions, and may not always be complete or current. We reserve the right to correct any such errors and to change or update information at any time without prior notice.
The Service and its original content, features and functionality are and will remain the exclusive property of Undsgn di David Salvatori and its licensors. The Service and the Products are protected by copyright, trademark and other laws of Italy, the European Union and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
We respect the intellectual property rights of others. If you believe that content available through the Service infringes a copyright or other intellectual property right you own or are authorized to represent, you may submit a written notice to info@undsgn.com with the subject line “Copyright Infringement”, including a detailed description of the alleged infringement and of the material concerned. You may be held liable for damages, including costs and legal fees, if you misrepresent that material is infringing.
The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies or practices of any third-party websites or services. We recommend that you read the terms and privacy policies of any third-party websites or services you visit.
The Service and the Products are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by applicable law, we provide the Service and Products without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free, that defects will be corrected, or that the Service is free of harmful components. Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under mandatory law applicable to consumers.
To the fullest extent permitted by applicable law, Undsgn di David Salvatori shall not be liable for any indirect, incidental, special or consequential damages, including loss of profits, data, use or goodwill, arising from your access to or use of, or inability to use, the Service or the Products. Where liability cannot lawfully be excluded, our total liability for any claim shall not exceed the amount you paid to us for the Product giving rise to the claim. Nothing in these Terms limits liability for fraud, willful misconduct, gross negligence, death or personal injury, or any other liability that cannot be limited or excluded under mandatory law, including mandatory consumer protection rules.
We may terminate or suspend your access to the Service at any time, without prior notice, if you breach these Terms. Upon termination, your right to use the Service will immediately cease. The provisions of these Terms which by their nature should survive termination shall survive, including intellectual property, disclaimers and limitation of liability.
These Terms are governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions. Where you are a consumer, you also benefit from any mandatory provisions of the law of your country of residence, and these Terms do not deprive you of the protection afforded by such provisions.
For any dispute, the competent court shall be that of Ancona, Italy, save where, for consumers, mandatory law provides for the jurisdiction of the court of the consumer’s place of residence or domicile. EU consumers may also use the European Commission’s Online Dispute Resolution platform, available at ec.europa.eu/consumers/odr.
Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which describe how we collect and process personal data.
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days’ notice before the new terms take effect, for example by updating the “Last updated” date and, where appropriate, by notice on this page. Your continued use of the Service after the revisions become effective constitutes acceptance of the revised Terms. If you do not agree to the new terms, please stop using the Service.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. These Terms, together with our Privacy Policy and Cookie Policy and any applicable license, constitute the entire agreement between you and us regarding the Service.
